1.Who We Are and What These Terms Cover

These Terms and Conditions (“Terms”) govern your access to and use of the Shdehaven website at www.shdehaven.com (the “Site”) and any purchases made through it. The Site is operated by HALIOR LLC, with its principal place of business at 7602 E Avalon Dr, Scottsdale, AZ 85251 (“we”, “us”, or “our”).

By accessing the Site or placing an order, you (“you” or “the customer”) agree to be bound by these Terms. If you do not agree, please do not use our Site. To use our Site, you must be at least 18 years of age, or the age of majority in your jurisdiction, and capable of entering into a legally binding agreement.

2.Your Responsibilities as a Customer

By using the Site, you agree to provide accurate, current, and complete information when placing orders or creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not engage in any fraudulent, abusive, or harmful conduct, including submitting false orders, impersonating another person, or attempting to gain unauthorised access to our systems.

3.Our Products

We offer a range of clothing and fashion items, including dresses, trousers, outerwear, and tops. Product descriptions, images, and specifications are provided for informational purposes only. While we make every effort to display our products accurately, colours and details may vary slightly depending on your screen and device. Images are illustrative and may not represent the exact product you receive.

We reserve the right to modify, discontinue, or limit the availability of any product at any time without notice. Availability is not guaranteed until your order has been confirmed.

4.Placing an Order

To place an order, add items to your cart and proceed to checkout. You will be asked to provide your delivery and payment details before submitting. Once your order is submitted and payment is confirmed, you will receive an order confirmation by email. This confirmation constitutes acceptance of your order and the formation of a binding contract between you and HALIOR LLC.

We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, product unavailability, or where we are unable to verify payment. If we cancel your order after payment has been collected, you will receive a full refund.

5.Pricing, Payment & Billing

All prices are displayed in US Dollars and are inclusive of applicable taxes unless otherwise stated. Shipping fees are calculated at checkout and will be clearly shown before you complete your purchase.

We accept Visa, Mastercard, American Express, Discover, and PayPal. Payment is collected at the time your order is placed. By submitting your payment information, you confirm that you are authorised to use the payment method provided and that your billing information is accurate.

We reserve the right to correct pricing errors even after an order has been placed. In such cases, we will notify you and give you the option to confirm the order at the correct price or cancel it for a full refund.

6.Right of Withdrawal

If you are a consumer purchasing from outside the United States, you may have the right to withdraw from a purchase within a cooling-off period under the laws of your jurisdiction. Where such rights apply, you may cancel your order without giving any reason within 14 days of receiving your goods.

To exercise this right, please notify us in writing at support@shdehaven.com before the cooling-off period expires. Items must be returned in their original condition and packaging. Return shipping costs are the responsibility of the customer unless the item is faulty or not as described. Refunds will be processed within 14 days of receiving the returned goods.

Please note that certain items may be exempt from the right of withdrawal, including personalised or custom-made products. We will advise you at the time of purchase if an exemption applies.

7.Complaints & Warranty

If you receive a product that is defective, damaged, or does not match the description on the Site, please contact us at support@shdehaven.com as soon as possible. Please include your order number, a description of the issue, and photographs where applicable.

As a consumer, you have statutory rights in relation to goods that are faulty or not as described. Where a product is found to be defective or non-conforming, we will offer, at our discretion and in accordance with applicable law, one of the following remedies: repair, replacement, or a full or partial refund. We aim to resolve all complaints promptly and fairly.

8.ntellectual Property

All content on the Site — including text, images, graphics, logos, icons, and software — is the property of HALIOR LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

You are permitted to view and print pages for your own personal, non-commercial use only. Any other use requires explicit written authorisation from us.

9.Limitation of Liability & Force Majeure

To the fullest extent permitted by applicable law, HALIOR LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or any products purchased through it. Our total liability to you shall not exceed the amount paid for the relevant product(s).

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

We shall not be held liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, strikes, or disruptions to logistics services. We will notify you if such an event occurs and will endeavour to resume normal operations as quickly as possible.

10.Geographic Restrictions

We reserve the right to limit the availability of our products and services to specific regions or jurisdictions. We do not represent that all products listed on the Site are available or appropriate for use in all locations. It is your responsibility to ensure that any product you order complies with the laws and regulations of your country or region.

11.Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

In the event of a dispute, we encourage you to contact us first at support@shdehaven.com so that we may attempt to resolve the matter amicably. If a resolution cannot be reached through direct negotiation, the parties may seek resolution through mediation or arbitration before pursuing formal legal proceedings. Any unresolved legal proceedings shall be subject to the exclusive jurisdiction of the courts in Maricopa County, Arizona, United States.

12.Data Protection & Privacy

Your use of the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your personal information as described in our Privacy Policy.
